NCH Healthcare System, Inc., based in Naples, Florida is exploring financing alternatives for three capital needs over the course of the next three years:  1) the NCH Heart, Vascular, and Stroke Institute project (the “NHI Project”); 2) the NCH/HSS Orthopedic Center project (the “HSS Project” and 3) reimbursement for certain capital expenditures over the course of the current fiscal year.

The NCH Healthcare System, Inc. was incorporated in 1983 under a plan of reorganization to better serve the health care needs of the Naples, Florida community and to provide management with greater flexibility in providing services.  NCH dates back to the 1950’s when Naples Memorial Hospital, Inc. (now Naples Community Hospital, Inc.) was founded as a 50-bed hospital.  NCH, through its wholly-owned subsidiary, the Hospital, operates two acute care hospitals in Collier County in southwest Florida, including a 391-bed hospital located on its campus in downtown Naples (the “NCH Baker Hospital”) and a 322-bed hospital located approximately 10 miles north of the NCH Baker Hospital (the “NCH North Naples Hospital”).

THE INFORMATION MEMORANDUM AND OTHER MATERIALS ABOVE ARE BEING PROVIDED ON A CONFIDENTIAL BASIS FOR USE BY A LIMITED NUMBER OF PROSPECTIVE LENDERS IN CONSIDERATION OF THE FINANCING DESCRIBED THEREIN.
